ELEMENT PARTNERS INVESTS $22 MILLION IN AGILITY FUEL SYSTEMS

January 6, 2011 – Element Partners announced the formation of Agility Fuel Systems, Inc. ("Agility," or “the Company”) through the merger of FAB Industries and Enviromech Industries, two leading providers of alternative fuel systems for commercial trucks, buses and specialty vehicles. Agility engineers, manufactures, installs, and services on-vehicle fueling systems, with a focus on compressed and liquid natural gas fuels.

There is increasing interest among medium and heavyduty fleet operators in North America regarding natural gas-fueled vehicles. With natural gas offering economic savings, lower maintenance costs, and reduced emissions versus diesel, the market for heavy-duty natural gas vehicles is poised for continued strong growth.

The merger of FAB and Enviromech into Agility creates an industry-leading company with deep engineering, design and fabrication experience, a long track record of safety and reliability, and an extensive design library of fueling systems for a variety of vehicle and engine configurations.

Sam Gabbita and Michael DeRosa of Element Partners will join Agility management on the Company’s Board of Directors. Michael Gallagher, Senior Advisor and Former President and Chief Operating Officer of Westport Innovations (NASDAQ: “WPRT”), a leading developer and manufacturer of heavy-duty natural gas engines, will also join Agility’s Board.

Agility’s customers include commercial vehicle OEMs, dealers, and fleet operators. The Company has engineering, installation, and service facilities in California, Alabama, and British Columbia. Agility provides installation and training services at customers’ locations, and provides a full suite of aftermarket warranty services and support.

“Using natural gas rather than diesel as a transportation fuel represents a meaningful economic and environmental value proposition for fleet operators, and Agility provides highly-engineered fueling systems for  these medium and heavy duty vehicles,” said Sam Gabbita, Partner at Element Partners. “We are excited to be partnering with Agility’s management team to help support the Company’s growth and expand its capabilities for customers.”
